abuse of power fra majoritetens side, navnlig tilfælde
hvor denne direkte eller indirekte söger at tilegne sig
penge, ejendom eller fordele, som tilhörer selskahet, eller
som de andre aktionærer er herettigede til at participere i.
I en nyere dom formuleres pricippet sáledes, at en general-
forsamlingsbeslutning kan erklæres ugyldig „if the effect
of it were to discriminate between the majority share
holders and the minority shareholders so as give the
former an advantage of which the latter were deprived“.18)
Tilsidst skal jeg omtale nogle interessante bestemmelser
i § 110 i den nye norske aktieselskabslov (1957), der er
udformet efter engelsk forbillede. § 110, stk. 1, giver en
nærmere bestemt minoritet af aktionærer19) ret til at

mindretalsaktionæren i dette tilfælde. Dommen var den endelige
afgörelse i de ialt 7 retssager, hvorunder den mishandlede ak-
tionær sögte at hævde sin ret. Vedtægternes art. 10 bestemte, at
ingen aktier kunne overdrages til en ikke-aktionær, sá. længe en
aktionær var villig til að köbe aktierne til en nærmera bestemt
fair pris. Ved generalforsamlingsbeslutning (specialresolution)
ændrede majoriteten art. 10 sáledes, at aktierne kunne sælges til
en udenforstáende, uden först at være tilbudt til de ældre mindre-
talsaktionærer, der derved blev afskáret at fá majoriteten. Lord
Evershed udtalte herom ,,when a man comes into a eompany, he
is not entitled to assume that the articles will always remain in
a particular form; and that, so long as the proposed alteration
does not unfairly discriminate in the way I have indicated, it is
not an objection, provided that the resolution is passed bonafide,
that the right to tender íor the majority holding of shares would
be lost by the lifting of the restriction. I do not think that it can
be said that that is such a discrimination as falls within the scope
of the principle which I have stated". I anden udg. 1957 vender
Gower sig med stor skarphed mod afgarelsen i denne sag (s.520);
„If discrimination is the true test, why was the resolution upheld
in the Greenhalgh case? The result of the resolution was that a
majority would allways be in a position to sell to an outsider
whereas the minority would not. Is this not discrimination?"
